Following his graduation, he secured his Series 7 License and embarked on an eight-year journey as a financial advisor at one of the largest brokerage firms in the US, specializing in retail markets.

A strategic transition into private equity marked the next chapter of Theodore’s career, where he demonstrated a remarkable talent for taking multiple companies public. One of the crowning achievements in his career was the merger of FaceBank Group with Fubo TV, a transaction at its height that was valued at $5 billion. Theodore’s instrumental role in the capital formation process propelled the company to a swift New York Stock Exchange uplisting, achieving an impressive initial valuation of 1 billion within just three months.

As the valuation skyrocketed to over 5 billion, Theodore Grothe showcased not only his financial acumen but also his ability to navigate the complexities of the finance and capital markets landscape with finesse and success.

Jon Barton

Chief Technology Officer

Jon Barton has worked in the technology and marketing industries for over 20 years and founded Integral Solutions in 2011. Prior to founding his business, Mr. Barton worked as the lead automation test engineer for the Hartford Steam Boiler Insurance Company, responsible for leading all automated functional testing efforts of all custom software developed by the company.

Mr. Barton has worked with hundreds of small to medium sized business, overseeing a number of projects in marketing, branding, design, website development, programming, and information technology. In 2016, Mr. Barton and three partners founded a social media marketing agency called BringSocial, which worked in the crowdfunding and venture capital industry helping clients get funding for their business startups. The  company also developed a proprietary automation application for publishing social media content for its clients that is still in use today. After leaving BringSocial, Mr. Barton continued to work in the crowdfunding space, helping to lead the web design and marketing efforts in a national funding campaign for a large affordable housing REIT.

Mr. Barton has also been responsible for the development and ongoing support of a custom lead management application designed for one of the largest VoIP providers on the East Coast. Mr. Barton continues to be a leader in his field, serving a multitude of clients across the country and helping businesses become more profitable using technology, automation, and strategic marketing.

Frank Esposito

General Counsel

Frank Esposito is the Principal of Esposito Partners, a New York City based law firm catering to the needs of businesses demanding advice from someone experienced at the highest levels of public and private companies. After serving as Secretary of the Board and General Counsel to a company operating in the insurance sector, Mr. Esposito helped increase revenues from $200mm to more than $1.3bn during his five-year tenure. He then helped negotiate and close a majority interest sale for $973mm cash at a 14x multiple and exited the company in 2019.

As Chief Legal Officer and Secretary of the Board of Facebank Group, Mr. Esposito helped negotiate and close the merger and acquisition that led to FuboTV’s meteoric rise on the New York Stock Exchange, after which, Mr. Esposito exited at a $4bn valuation in 2020.

He is an avid sailor and historian, drawing on nearly 30 years of legal experience as a leader in emerging fields and having closed billions of dollars in transactions. After clerking for the former Chief Judge of the Federal District Court for the Eastern District of New York during law school in Manhattan, Mr. Esposito began his storied legal career representing former Mayor Rudolph Giuliani and other high-level mayoral officials through acrimonious and publicity laden litigation. He went on to join the Complex Litigation practice group at a major international law firm where he represented Fortune 50 clients through some of the most noteworthy agreements, structures and financing vehicles in the United States, including settlement of the Enron Megaclaims litigation.

A former local judge in New York for more than a decade, he currently sits on several boards and provides advice to a handful of noteworthy clients. His experience with the amalgam of business and technology serves us well, whether in structuring transactions, engaging in acquisition plays or simply strategizing on how best to grow the company.
